How do you format a telephone conversation as a voice over?

I ask because I want to have a scene where two people arrange to meet at a park over the phone, but I want the phone call to play as a voice over, as the two of them walk towards each other in the park, so in essence I'm merging two scenes.

That's an INTERCUT, but it's a camera direction.  Personally, I'd avoid it even if it is a pain in the ass to keep writing new sluglines if you want to switch back and forth.

Thanks Mike.

I can't really avoid it because I'm entering this script in a short film comp and one of the rules is that the stories can only contain three locations, so I'm resorting to this voice over phone call to keep my location count down.

If you have to keep the locations down, do you really need to see both of them walking to meet up?  Couldn't one be walking while the other is strictly VO?  

And when they do finally meet up they do that weird talk to each other on the phone for a few more sentences even though the'yre standing right in front of one another thing.

I don't really know anything about the script, but it's a thought.

EDIT:  MOVED - Sometime's people see the questions/comments thing in voiceover and get mixed up.

Yeah, that sounds okay. I'll play around with it a bit and see what I come up with.

If I understood this correctly, your question haven't been answered yet. Let me know if this is right:

Jack and Bob arrange a meeting at the park but we don't get to see the scene where they do. To keep your locations to a minimum you don't want to show their homes while they talk over the phone.

So you just show the meeting at the park; the scene starts with them walking towards each other. But, to let the audience know how this meeting was arranged, you want to have their phone conversation playing as a V.O. Is this correct?

If it is…

EXT. PARK - ENTRANCE - NIGHT

Deserted; Bob strolls along the mist.

Silence… except the sound of a phone ringing.

               BOB (V.O.)
          Yes.

               JACK (V.O.)
          Tomorrow night. At the park.

               BOB (V.O.)
          Where exactly?

EXT. PARK – LAKE – NIGHT

Jack sits at a bench in front of a big lake.

               JACK (V.O.)
          By the lake. Come alone.

               BOB (V.O.)
          I’ll be there… Thanks… Thanks for helping me, Jack.

Jack puts a silencer to his gun and hides it inside his coat.

               JACK (V.O.)
          No problem, Bob.
